SPONSOR TERMS & CONDITIONS FOR THE POSSIBLE CONNECT HOSTED MEETINGS PROGRAM

These terms and conditions (these “Hosted Meetings Terms”) of Beyond Ordinary Events, LLC (“Event Organizer,” “we,” “us,” or “our”) apply to: (i) sponsors (“Sponsors”) participating in the Connect Hosted Meetings Program (the “Hosted Meetings Program”) at POSSIBLE; (ii) Hosted Meetings Representatives; and (iii) Sponsor Organization Admins. Sponsors, Hosted Meetings Representatives, and Sponsor Organization Admins are referred to collectively as “you” or “your.”

By participating in the Hosted Meetings Program, you agree to be bound by these Hosted Meetings Terms, which are binding on your Sponsor organization as well as any Sponsor Organization Admin or Hosted Meetings Representative. The natural person agreeing to these Hosted Meetings Terms represents that he or she has the full authority and power to bind all parties constituting “you.”

  1. The Hosted Meetings Program. We will arrange a series of meetings (“Hosted Meetings”) between: (a) Hosted Buyers; and (b) Hosted Meetings Representatives. All Hosted Meetings will take place during designated Meeting Times.

    1. Hosted Buyers. “Hosted Buyers” are qualifying brand marketers who identify themselves as buyers or influencers of applicable technology, solutions, products, or services for their organizations, and who agree to attend up to eight (8) Hosted Meetings. As part of the Hosted Meetings Program, Hosted Buyers may optionally elect to receive: (x) a travel/hotel reimbursement of up to $750.00 or (y) a charitable donation to a charity designated by BOE in lieu of reimbursement.

    2. Hosted Meetings Representatives. “Hosted Meetings Representatives” are individuals designated by a Sponsor to participate in Hosted Meetings pursuant to: (i) a fully executed contract to purchase Hosted Meetings between the Sponsor and us (a “Sponsor Contract”); or (ii) a direct online platform purchase of Hosted Meetings (a “Sponsor Platform Purchase”). A single Sponsor may designate multiple Hosted Meetings Representatives. We define the process for arranging Hosted Meetings in our sole discretion, and may modify such process at any time.

    3. Sponsor Organization Admins. “Sponsor Organization Admins” are individuals designated to complete certain Hosted Meetings Program administrative tasks on behalf of a Sponsor. A single Sponsor may designate multiple Sponsor Organization Admins. Sponsor Organization Admins may not attend the Event unless they hold a valid ticket, have paid applicable ticket fees, and comply with all applicable terms and conditions.

    4. Meeting Times. “Meeting Times” are predetermined time slots during which Hosted Meetings take place, as set by us in our sole discretion and subject to change. Specific Meeting Times will be communicated to Hosted Meetings Representatives prior to the Event. Failure to be available during all Meeting Times may limit our ability to arrange Hosted Meetings for those representatives.

  2. Hosted Meetings Cap. The number of Hosted Meetings purchased by a Sponsor pursuant to a Sponsor Contract or Sponsor Platform Purchase is that Sponsor’s “Hosted Meetings Cap.” The Hosted Meetings Cap may be increased by purchasing additional Hosted Meetings by any applicable deadline we designate.

  3. Pricing and Reconciliation.

    1. Pricing. Hosted Meetings are priced as set forth online or in the Sponsor Contract at the time of purchase (the “Price Per Meeting”). The total amount paid by a Sponsor for Hosted Meetings is the “Meetings Payment Amount.”

    2. Post-Event Reconciliation. We will complete a post-event reconciliation to determine the number of “Completed Hosted Meetings,” defined as Hosted Meetings that: (i) actually took place; (ii) would have taken place but for the absence of a Hosted Meetings Representative (including late arrivals resulting in meetings of less than fifteen (15) minutes); or (iii) would have taken place but for a Hosted Meetings Representative’s failure to accept a meeting or cancellation of a Hosted Meeting for any reason.

    3. Credits and Refunds. If the number of Completed Hosted Meetings multiplied by the Price Per Meeting (averaged if more than one Price Per Meeting applies) is less than the Meetings Payment Amount, we will provide either a credit toward a future event owned or operated by us or our affiliates, or a refund of the difference, within sixty (60) days following the Event (the “Refund Payment Date”).

  4. Pre-Event Requirements. Sponsor Organization Admins and Hosted Meetings Representatives must provide relevant information and respond to our requests by our stated deadlines, including: (i) completing Sponsor profiles (“Profiles”), which are subject to our review and approval; (ii) requesting meetings with Hosted Buyers and opting into meeting requests from Hosted Buyers; (iii) assigning Hosted Meetings to Hosted Meetings Representatives and adding Hosted Meetings to their calendars.

  5. Program Rules and Compliance.

    1. Hosted Meetings Representative Obligations. All Hosted Meetings Representatives must hold a valid event ticket, pay applicable ticket fees, and comply with all applicable terms and conditions. In addition, each Hosted Meetings Representative must: (i) be available during all Meeting Times; (ii) join Hosted Meetings at the times we designate; (iii) prepare for Hosted Meetings, assuming that Hosted Buyers may not have prepared in advance; and (iv) notify us of any Hosted Buyer who was absent from a Hosted Meeting.

    2. Prohibited Conduct. Sponsors, Sponsor Organization Admins, and Hosted Meetings Representatives must not: (i) contact any Hosted Buyer with whom they have an assigned Hosted Meeting prior to the Event; or (ii) contact any Hosted Buyer who did not attend their Hosted Meeting; in each case unless contact with that Hosted Buyer arises independently in the ordinary course of business unrelated to the Hosted Meetings Program.

    3. General Compliance. Sponsors, Sponsor Organization Admins, and Hosted Meetings Representatives must comply with all Hosted Meetings Rules and Directives, as updated by us from time to time, including the Hosted Meetings Reconciliation Guide attached to this Addendum and as may be updated by us in writing from time to time, and shall: (i) present and market their products and services in an accurate and transparent manner and in compliance with FTC marketing rules; and (ii) comply with all applicable laws in connection with their conduct under these Hosted Meetings Terms.

    4. Post-Event Feedback. Each Hosted Meetings Representative must complete a post-event feedback survey with specific evaluations for each meeting. Failure to submit feedback by the Refund Payment Date may delay any applicable refund until feedback is completed.

    5. Consequences of Non-Compliance. Failure to comply with any of the foregoing obligations may result in: (i) termination from the Hosted Meetings Program; and/or (ii) a reduction or elimination of any applicable refund or credit, at our discretion.

  6. Eligibility and Termination. We determine, in our sole discretion, the eligibility of any Sponsor, Sponsor Organization Admin, Hosted Meetings Representative, or Hosted Buyer to participate in the Hosted Meetings Program, and may end any party’s participation at any time and for any reason, including by canceling any Hosted Meetings.

  7. No Guarantees. Each Sponsor, Sponsor Organization Admin, and Hosted Meetings Representative acknowledges and agrees that: (i) we do not guarantee any minimum number, quality, or nature of Hosted Buyers or Hosted Meetings, and the number of meetings arranged may be below the number purchased; (ii) the success and outcome of the Hosted Meetings Program are subject to factors beyond our control; (iii) we make no explicit or implied guarantee regarding the level of business, revenue, brand exposure, or other benefits that may result from participation; and (iv) other Sponsors are participating in the Hosted Meetings Program, which may result in competition for Hosted Buyers, and we reserve the right, in our sole discretion, to match any Sponsor with any Hosted Buyer for any reason.

  8. Indemnification. Each Sponsor, Sponsor Organization Admin, and Hosted Meetings Representative (collectively, the “Indemnifying Parties”) shall indemnify and hold harmless Event Organizer and its directors, officers, employees, agents, contractors, representatives, successors, and assigns (the “Indemnified Parties”) from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of any breach of these Hosted Meetings Terms by any Indemnifying Party or any other act or omission by an Indemnifying Party in connection with the Hosted Meetings Program.

  9. Relationship to Event Participation Agreement. Participation in the Hosted Meetings Program is governed by these Hosted Meetings Terms as well as the Event Terms and Conditions (Exhibit A to the Event Participation Agreement). In the event of a direct conflict between these Hosted Meetings Terms and the Event Terms and Conditions with respect to matters specifically relating to the Hosted Meetings Program, these Hosted Meetings Terms shall control.

HOSTED MEETINGS RECONCILIATION GUIDE

Congratulations on purchasing Hosted Meetings in our Connect Program. While we maintain over a 98% fulfillment rate for purchased meetings, we recognize that occasionally a meeting may not take place as expected. The following outlines our reconciliation process.

STEP 1 — Follow All Connect Guidelines. To qualify for a credit, all Sponsors must adhere to the Connect Guidelines. Failure to complete all required pre-event scheduling steps will result in ineligibility for a credit for any unscheduled meetings. Key requirements include:

  • Profile Stage: Complete your organization profile and assign Meetings Reps. Meeting Reps will need to complete their individual event profiles as well.

  • Request Meetings Stage: Hosted Meetings Reps are required to submit at least four meeting requests for each Hosted meeting purchased. e.g. if you have purchased 10 Hosted meetings then we require you individually make 40+ Hosted requests each. Please feel free to make as many more than that as you like!

  • Accept Meetings Stage: Accept and assign all scheduled Hosted Meetings to a Meetings Rep.

  • Opt-in and Confirm Availability Stage: During this stage you will see all of the people that requested to meet with you and opt into their requests. Opting into a request you receive from a Hosted Brand Marketer will become a Hosted meeting if it is scheduled. Please note that not all opt-ins will become scheduled meetings.

  • View Schedule Stage: You can view your schedule on the POSSIBLE platform, as well as in the mobile app.

STEP 2 — Record No-Shows. While onsite, all team members must record no-shows to enable accurate tracking of meeting attendance.

STEP 3 — Contact Your Account Manager. If you were unable to mark any no-shows during the Event, email your account manager with relevant notes after the Event.

STEP 4 — Reconciliation Process. Approximately sixty (60) days following the Event, our team will complete a post-event reconciliation and reach out regarding any credits for which you may be eligible.

How Credits Are Calculated: You are eligible for a credit only for meetings that did not take place through no fault of your organization. The following meetings are not eligible for a credit: (i) meetings that were completed (both parties attended); (ii) meetings where your Meetings Rep did not show up; and (iii) meetings that your Meetings Rep declined or left unaccepted during the Accept Meetings Stage.

The resulting formula is:
